Code P is an open market or private purchase and code S is an open market or private sale. Code A is a grant or award from the issuer, code M is the exercise or conversion of a derivative security, code F is payment of an exercise price or tax liability by withholding securities, and code G is a bona fide gift.
Direct (D) ownership means the shares are held in the reporting person’s own name; indirect (I) ownership means they are held through another party such as a trust. A Rule 10b5-1 plan is a written trading arrangement that sets out trades in advance.
