How often is data refreshed?
Peak (09:00–18:00 ET): every 2 min. Off-peak: every 5 min.
What counts as a derivative transaction?
Any Form 4 derivative line—options, RSUs, PSUs, warrants, convertible debt. Fields shown:
Exercise Price – strike price
Underlying Shares – shares controlled
Expiration Date – last exercise date
How do you handle time zones?
All timestamps stored in UTC, displayed in Eastern Time (aligned with SEC filing cutoff).
Can I download data?
Yes. CSV export matches your current filters.
What period does the heatmap cover?
The heatmap aggregates insider activity over the last 25 calendar days and displays it on filing days (typically ~18–20 business days within that window).
How do you define cluster buys?
A cluster buy is when 2 or more insiders from the same company purchase shares within 3 business days, with a combined discretionary value of at least $50,000.
Excludes: 10b5-1 planned trades, derivative transactions, gifts, entity/10% owners.
Basis: filing_date.
Found a cluster? It indicates consensus conviction among multiple insiders.
Do you show "Remarks" from Form 4s?
We always show
Explanation of Responses. When "Remarks" are present, we display them in a separate column.
Remarks support applies to filings processed on or after September 21, 2025. Remarks are used infrequently by filers, so many trades won't include them.
Why do some companies show "NONE" for ticker symbol?
About 0.5% of trades display "NONE" as the ticker—these are valid entries for companies without publicly traded stock on major exchanges:
Private/employee-owned companies
OTC-traded stocks
Private investment funds
Pre-IPO or recently delisted companies
These companies must still file Form 4s if they have registered securities under Section 12(g) of the Exchange Act.
Why do some trades show no industry classification?
Approximately 2% of trades lack industry data, primarily affecting:
Investment funds
Business Development Companies (BDCs)
REITs and real estate funds
Municipal bond and income funds
Certain investment funds, REITs, and business development companies aren't always given a standard industry classification by the SEC. When that happens, you may see the industry listed as 'Unknown' on InsiderCompass.
